Primary Functions
- Lead and manage complex contract negotiations and drafting for high-value commercial agreements, including master services agreements (MSAs), licensing agreements, vendor and supplier contracts, NDAs, and reseller/distribution agreements, ensuring commercial objectives are met while minimizing legal and regulatory exposure.
- Provide timely, pragmatic legal advice and strategic counsel to C-suite executives and business unit leaders on corporate transactions, product launches, pricing strategies, partnerships, and other high-impact initiatives, translating legal risk into clear business options and recommended next steps.
- Oversee and coordinate cross-border legal matters, advising on international regulatory compliance, local law requirements, jurisdictional risk, and structuring of multinational transactions to optimize business outcomes and maintain compliance with trade, export control and local regulatory frameworks.
- Lead diligence, negotiation support and legal structuring for mergers, acquisitions, divestitures and strategic investments, including preparing deal documents, coordinating outside counsel, managing due diligence processes and assessing post-closing integration and indemnity issues.

Minimum Education:
