Core Responsibilities
Primary Functions
- Conduct thorough legal research and analysis on complex issues using Westlaw, LexisNexis, Bloomberg Law, and primary sources to support pleadings, motions, briefs, and client advisories.
- Draft, edit, and finalize complaints, answers, motions, briefs, affidavits, discovery requests and responses, and other court filings with precise legal reasoning and citation.
- Manage end-to-end litigation tasks including case intake, docket control, drafting case theories, calendaring deadlines, and coordinating with clients, paralegals, and co-counsel to meet stringent court timelines.
- Prepare persuasive written advocacy — motions to dismiss, summary judgment motions, oppositions, and legal memoranda — tailored to local rules and federal court procedure.
- Lead depositions and take/witness preparation sessions, drafting deposition outlines, exhibits, and follow-up witness interviews to ensure coherent trial narratives.
- Support trial preparation: prepare witness lists, trial exhibits, jury instructions, demonstratives, and coordinate logistics with court reporters and trial technicians.
- Participate in or lead discovery strategy: drafting requests for documents, interrogatories, privilege logs, and managing privilege reviews and redaction protocols.
- Oversee e-discovery workflows including custodial interviews, ESI preservation notices, vendor management, document collection, filtering, and review using Relativity, Logikcull, or similar platforms.
- Handle contract drafting and review for commercial agreements, vendor contracts, NDAs, and service agreements; negotiate favorable terms and draft clean, enforceable provisions.
- Perform transactional due diligence for mergers and acquisitions, preparing due diligence reports, risk matrices, and closing checklists and coordinating with cross-functional teams.
- Provide proactive client counseling on regulatory compliance, risk mitigation strategies, and legal implications of business decisions in practice areas such as corporate, employment, real estate, IP, or regulatory law.
- Draft and review corporate governance documents: operating agreements, shareholder agreements, board resolutions, and assist with entity formation and corporate filings.
- Conduct regulatory filings and administrative law practice: prepare submissions, responses to agency inquiries, and handle permit and licensing matters with federal, state, and local agencies.
- Manage multiple client matters and budgets concurrently, maintain accurate timekeeping, and prepare fee estimates, invoices, and status reports consistent with firm billing practices.
- Supervise and mentor junior associates and paralegals: assign work, review drafts, provide constructive feedback, and train on substantive legal topics and firm procedure.
- Negotiate settlements and alternative dispute resolution outcomes including mediations and arbitration, preparing position statements, settlement agreements, and release language.
- Work with partners to develop case strategy and litigation budgets, prepare status updates and internal strategy memos, and advise on the likely risks and outcomes.
- Maintain client relationships by responding to client inquiries, delivering clear legal advice, and presenting progress updates in person or via written communications.
- Monitor legal and industry developments, summarize relevant case law and legislative changes for clients and internal teams, and adapt strategies accordingly.
- Prepare and present CLE-style training and client-facing presentations on relevant law updates, best practices, or case strategy when assigned.
- Ensure strict adherence to ethical rules, conflicts checks, confidentiality requirements, and professional responsibility obligations in all engagements.
- Engage in business development activities: contribute to proposals, pitch decks, client outreach, and thought leadership pieces such as white papers, blog posts, and client alerts.
