Core Responsibilities

Primary Functions

  • Draft, review, and negotiate a broad range of commercial contracts including MSAs, SAAS agreements, licensing agreements, reseller and distribution agreements, NDAs, professional services agreements, statements of work, and supplier/vendor contracts, ensuring commercial objectives are met while minimizing legal and regulatory risk.
  • Lead contract lifecycle management by building and maintaining standardized templates, playbooks, and clause libraries, and by training commercial teams to accelerate contract execution while preserving legal protections.
  • Provide day-to-day legal advice to product, engineering, sales, marketing, HR, and finance teams on matters including product launches, pricing, user agreements, advertising and promotional compliance, and commercial disputes.
  • Counsel on privacy and data protection compliance (GDPR, CCPA/CPRA, data transfers), including reviewing data processing agreements, advising on lawful bases for processing, and supporting privacy impact assessments and vendor privacy reviews.
  • Manage and supervise outside counsel for litigation, IP matters, regulatory inquiries, and large-scale transactional work, including scoping, budgeting, and driving efficient outcomes through clear instructions and oversight.
  • Support mergers, acquisitions, investments, and divestitures by leading legal due diligence, drafting and negotiating transaction documents, and coordinating with cross-functional deal teams (finance, tax, product, HR).
  • Conduct legal research and prepare clear, practical legal memos and recommendations on a variety of corporate, regulatory, employment, and commercial law issues that enable informed business decisions.
  • Oversee pre-litigation and litigation strategy, work with outside litigation counsel to develop case plans, review pleadings and discovery, and manage legal exposure and settlement strategy in coordination with senior counsel.
  • Advise on intellectual property strategy, including trademark and copyright clearance, drafting IP assignments and licensing agreements, and coordinating prosecution and enforcement with outside IP counsel.
  • Analyze regulatory requirements across jurisdictions for product compliance and advise on go-to-market strategies, product labeling, consumer protection, and industry-specific regulatory frameworks.
  • Draft and maintain corporate governance documents, as well as prepare board and committee materials, minute preparation, and corporate resolutions in collaboration with corporate secretarial functions.
  • Create and implement compliance programs, policies, and internal controls (code of conduct, anti-corruption/anti-bribery policies, export controls) and coordinate training and attestations across the organization.
  • Lead internal investigations and compliance-related inquiries, perform fact-gathering interviews, recommend remediation steps, and work with HR and leadership on disciplinary or corrective actions when necessary.
  • Evaluate business processes and commercial models for legal and regulatory risk, propose practical mitigations, and partner with operations and product teams to implement scalable solutions.
  • Support revenue operations and collections by reviewing subscription terms, billing and invoicing provisions, renewal and termination mechanisms, and by advising on dispute resolution and collections strategies.
  • Work with security and engineering teams on contractual cybersecurity obligations, breach readiness and response, incident notification workflows, and vendor security assessments and questionnaires.
  • Manage portfolio of outside counsel relationships: procurement, fee arrangements, conflict checks, invoice review, and quarterly budget tracking; negotiate alternative fee arrangements when appropriate.
  • Prepare, negotiate, and manage licensing and technology transfer agreements, including open source compliance support and advising on acceptable use and indemnity frameworks for technology products.
  • Provide employment law advice on hiring, termination, restrictive covenants, severance, accommodations, and independent contractor classification; draft and review employment agreements and offer letters.
  • Monitor legal and regulatory developments relevant to the business and translate changes into actionable guidance, policy updates, or required operational changes; proactively inform business leaders of material risks.
  • Serve as a legal business partner in cross-functional initiatives (product roadmap, pricing experiments, international expansion), participating in sprint planning or launch checklists to ensure legal readiness.
  • Support marketing and product teams by reviewing promotional claims, contest rules, influencer agreements, and user-facing terms to reduce regulatory and reputational risk.
  • Provide mentorship and practical guidance to junior attorneys, paralegals, and contract managers; assist in hiring and onboarding legal team members and improving legal workflows and knowledge management.

Secondary Functions

  • Build and maintain playbooks and standard operating procedures for contract negotiation, privacy assessments, and incident response to accelerate legal reviews and reduce time-to-close for commercial deals.
  • Partner with Legal Operations to optimize tooling (CLM, e-signatures, matter intake systems) and to track KPIs such as cycle time, outside counsel spend, and contract throughput.
  • Deliver recurring training sessions and office hours for sales, customer success, product, and HR on common legal topics (contracting best practices, privacy fundamentals, IP do’s and don’ts).
  • Support ad hoc policy requests, regulatory filings, and cross-border compliance projects, including coordinating with local counsel in key jurisdictions.
  • Participate in strategic risk reviews with senior leadership to align legal priorities with business objectives and budget targets.
  • Contribute to continuous improvement projects within legal (process maps, automation opportunities, clause standardization) and help implement change management across stakeholders.
  • Assist with licensing, permit applications, and regulatory registrations as required for new product features or geographic expansion.
  • Maintain a clear docket of corporate filings, expiration dates for material contracts, and key compliance deadlines to ensure timely renewals and regulatory adherence.

Education & Experience

Educational Background

Minimum Education:

  • Juris Doctor (JD) or equivalent from an accredited law school.
  • Admission to the bar in at least one U.S. state or relevant jurisdiction.

Preferred Education:

  • LLM in a specialized area (privacy/technology) or equivalent industry certifications (CIPP/US, CIPP/E).
  • Additional business/legal training such as an MBA or certificates in compliance, data privacy, or contract law.

Relevant Fields of Study:

  • Law (Juris Doctor)
  • Business Administration or Finance (MBA preferred for transactional focus)
  • Computer Science or Information Security (helpful for privacy/technology-focused roles)

Experience Requirements

Typical Experience Range: 3–8 years of legal experience in a law firm or in-house environment, with at least 2–4 years handling transactional work, commercial contracts, or regulatory compliance.

Preferred:

  • 4+ years in-house counsel experience, ideally in technology, SaaS, fintech, healthcare, or regulated consumer services.
  • Evidence of end-to-end contract ownership, negotiated SaaS and enterprise agreements, and hands-on support for product launches or M&A.
  • Experience managing outside counsel, leading cross-functional projects, and building or improving legal processes.
