Core Responsibilities

Primary Functions

  • Manage a caseload or portfolio of transactional matters, including drafting, filing, monitoring deadlines, preparing court documents, and coordinating with clients and external counsel to achieve cost-efficient legal outcomes.
  • Conduct comprehensive legal research using Westlaw, LexisNexis, Bloomberg Law and primary sources; synthesize findings into persuasive memos, legal opinions, and motion briefs that support case strategy or transaction structure.
  • Draft, revise, and negotiate a wide variety of commercial agreements (NDAs, MSAs, purchase agreements, licensing arrangements, service agreements, employment-related contracts) with an eye to risk allocation, practical enforceability, and client objectives.
  • Lead due diligence for M&A, financing, or real estate transactions: identify legal risks, prepare due diligence reports, draft due diligence requests and coordinate document collection and redaction.
  • Prepare high-quality pleadings, motions, briefs, affidavits, and appellate filings; create clear legal arguments grounded in precedent and statutory analysis to advance client positions in court.
  • Manage discovery and e-discovery workflows, including drafting discovery requests and responses, coordinating document collection, supervising document review teams, and running privilege logs and privilege reviews.
  • Represent clients in court appearances, hearings, pre-trial conferences, depositions, mediations, and arbitrations under the supervision of senior counsel; prepare witnesses and advocate effectively on procedural and substantive issues.
  • Advise clients on regulatory compliance matters (e.g., data protection, antitrust, securities, employment, environmental) by interpreting statutes, drafting compliance policies, and assisting with internal investigations.
  • Create clear, client-ready legal memoranda and status reports that translate complex legal issues into actionable business advice and risk mitigation strategies.
  • Negotiate settlements, commercial resolutions, and transactional terms while protecting legal rights and maximizing client value; prepare settlement agreements and release documents.

  • Draft corporate governance documents, board resolutions, shareholder agreements, and minute books; advise boards and management on fiduciary duties, corporate formalities, and governance best practices.
  • Utilize legal technology platforms (matter management, document automation, e-filing, e-discovery) to enhance efficiency, ensure consistent document templates, and streamline repetitive drafting tasks.
  • Monitor and analyze changes in applicable law, precedent, and policy; produce internal alerts or client advisories describing legal developments and recommended course of action.
  • Prepare trial exhibits, witness outlines, deposition summaries, and demonstrative materials; manage trial logistics and coordinate with trial technology teams for courtroom presentation.

Education & Experience

Educational Background

Minimum Education:

  • Juris Doctor (J.D.), Bachelor of Laws (LL.B.), or equivalent from an accredited law school.
