Core Responsibilities
Primary Functions
- Lead the development and execution of an integrated legal strategy aligned with the company’s business objectives, proactively identifying legal risks and opportunities and advising the CEO, CFO and Board on strategic decisions.
- Oversee all corporate governance matters including Board and committee support, preparation of board materials, minutes, corporate resolutions, and ensuring compliance with charter and bylaws.
- Advise on and manage complex mergers and acquisitions (M&A), joint ventures, divestitures and strategic investments, including structuring, due diligence, drafting and negotiation of transaction documents, and coordinating cross-functional deal teams.
- Draft, review and negotiate a broad range of commercial agreements (partner agreements, vendor contracts, customer agreements, licensing, SaaS agreements) to minimize risk and ensure favorable commercial terms.
- Design, implement and maintain a company-wide compliance program that addresses regulatory obligations, internal policies, anti-corruption (e.g., FCPA), trade compliance, and industry-specific regulatory regimes.
- Lead regulatory strategy and engagement with regulators, government agencies and industry bodies to influence policy, obtain approvals, and resolve regulatory inquiries and audits.
- Manage litigation, arbitration and dispute resolution matters by developing case strategies, selecting and supervising external counsel, controlling legal spend, and advising the executive team on outcomes and settlement strategy.
- Build and lead a high-performing in-house legal team: hire, mentor, set performance objectives, allocate workload and develop succession plans for legal and compliance functions.
- Oversee intellectual property strategy and portfolio management, including patents, trademarks, trade secrets and licensing arrangements, and coordinate with patent counsel and R&D teams.
- Serve as the primary legal advisor for employment, labor and benefits matters, including executive employment agreements, internal investigations, disciplinary actions and workforce restructurings.
- Develop and implement a data privacy and security legal framework compliant with GDPR, CCPA and other data protection laws; advise on cross-border data transfers, vendor due diligence, and incident response planning.
- Provide legal support for product and go-to-market launches, ensuring marketing, advertising, labeling and product claims comply with applicable laws and industry standards.
- Establish and manage an effective outside counsel roster, negotiate fee arrangements, monitor outside counsel performance and implement matter management and budgeting controls.
- Create and maintain enterprise risk management policies and playbooks, including crisis preparedness, whistleblower processes, and protocols for escalations and public disclosures.
- Lead investigations into alleged misconduct, oversee internal fact-finding, ensure appropriate remedial actions, and advise on legal and reputational implications.
- Coordinate with finance and tax teams to address securities, disclosure and SEC reporting obligations (for public companies) and ensure compliance with insider trading policies.
- Provide legal guidance on financing activities, debt facilities and capital markets transactions, including negotiating terms and coordinating with lenders, underwriters and antitrust counsel as needed.
- Interpret and apply complex regulatory frameworks (antitrust/competition, healthcare, fintech, telecommunications, environmental, etc.) and translate regulatory risk into business-implementable controls.
- Implement contract lifecycle management and legal technology solutions (CLM, e-billing, matter management, knowledge management) to improve efficiency, reduce risk and enable scalability.
- Drive cross-functional training and legal awareness programs for executives and employees to ensure consistent application of corporate policies and reduce enterprise legal exposure.
- Advise on reputational, ESG and compliance integration, including review of sustainability disclosures, ethics programs and supplier due diligence to support responsible growth.
- Champion privacy-by-design and compliance-by-design approaches with product, engineering and security teams to anticipate legal constraints during product development cycles.
- Monitor and report on emerging legal and regulatory trends, producing actionable risk assessments and recommended responses for the executive team.
Secondary Functions

Education & Experience
Educational Background
Minimum Education:
- Juris Doctor (JD) or equivalent law degree and active bar admission in at least one jurisdiction.
