Core Responsibilities
Primary Functions
- Lead the legal department and develop the legal strategy aligned to corporate objectives, including establishing priorities, KPIs, budgets, and a scalable organizational structure for domestic and international operations.
- Serve as principal legal advisor to the CEO, executive leadership team and Board of Directors on corporate governance, fiduciary duties, board processes, and matters affecting strategic decisions.
- Oversee all corporate transactions, including mergers & acquisitions, joint ventures, strategic investments, divestitures and reorganizations; lead deal structuring, risk allocation, due diligence, and post‑closing integration support.
- Draft, negotiate and finalize complex commercial contracts and strategic vendor/customer agreements, including SaaS, licensing, procurement, channel and distribution agreements, ensuring favorable commercial terms and enforceable risk mitigations.
- Design, implement and continuously improve enterprise-wide compliance programs to meet regulatory requirements (including anti-corruption/anti-bribery, export controls, AML, sanctions), and lead investigations and remediation where needed.
- Develop and maintain a comprehensive regulatory strategy and stakeholder engagement plan to monitor, influence and respond to changes in industry-specific law and government policy across jurisdictions.
- Manage litigation and dispute resolution strategy, including oversight of outside counsel selection, cost control, case strategy, settlement negotiations, and appeals; ensure accurate reserves and litigation exposure reporting to finance.
- Lead privacy and data protection compliance across the organization (e.g., GDPR, CCPA, cross-border data transfers), including policy drafting, data incident response, DPIAs, and coordination with security and product teams.
- Protect, manage and monetize intellectual property assets, including patent, trademark and copyright strategy, IP licensing, enforcement actions and collaboration with R&D and product teams.
- Oversee employment and labor law matters including hiring, terminations, executive compensation, collective bargaining issues, workforce restructurings, and employment-related litigation mitigation strategies.
- Build and maintain efficient legal operations, including matter management, legal technology (contract lifecycle management, e-billing, knowledge management), budgets, vendor panels and SLAs with internal clients.
- Drive contract lifecycle management improvements: templating, playbooks, risk matrices, approval workflows and self-service tools to accelerate commercial velocity while controlling legal risk.
- Provide strategic legal input to product development and go-to-market initiatives to ensure regulatory compliance, acceptable terms of use, consumer protection, and safe launch of new products and services.
- Conduct and supervise internal investigations, whistleblower intake and response, ethics hotline management, and recommend disciplinary or remedial actions in coordination with HR and compliance.
- Advise on capital markets matters, securities law compliance, investor relations disclosures, equity compensation plans, and coordinate with external counsel and underwriters for equity/debt offerings.
- Develop, promote and deliver legal training programs for executives and employees on corporate policies, risk awareness, compliance obligations, contract fundamentals and privacy/security best practices.
- Evaluate, select and manage outside law firms, alternative legal service providers and consultants; negotiate fee arrangements and set performance metrics to optimize cost and outcome.
- Provide risk analysis and legal advice supporting pricing, procurement, supply chain agreements and vendor risk management, including indemnity, limitation of liability and insurance requirements.
- Serve as corporate secretary or supervise corporate secretarial functions: board meeting materials, minutes, corporate records, statutory filings and governance compliance across subsidiaries and affiliates.
- Lead cross-functional counseling on public policy, regulatory enforcement, government investigations and crisis management, coordinating communications and remediation strategy with PR and executive teams.
- Establish metrics, dashboards and reporting to the board and executive team on legal spend, matter status, compliance program effectiveness, regulatory exposures and legal KPIs.
- Mentor, recruit and retain top legal talent; create career development plans, performance management processes and a high-performance culture within the legal organization.
- Ensure integrated collaboration with finance, HR, IT, product and business units to operationalize legal guidance and align legal risk appetite with corporate strategy.
Secondary Functions

Educational Background
Minimum Education:
