The Corporate Legal Advisor is a commercially focused, senior in‑house attorney who provides strategic legal counsel across commercial transactions, corporate governance, regulatory compliance, M&A, employment matters, intellectual property, and litigation risk. This role partners with business leaders, finance, HR, product and security teams to identify legal risks, craft scalable policies and playbooks, negotiate and draft complex agreements, manage outside counsel, and ensure the company operates within applicable laws and industry standards. Strong experience in contract drafting and negotiation, due diligence in transactions, regulatory navigation, and practical risk mitigation is essential.

Core Responsibilities

Primary Functions

  • Draft, review and negotiate a full range of commercial agreements including master services agreements (MSAs), software licensing agreements, SaaS agreements, vendor and supplier contracts, NDAs, professional services agreements, distribution and reseller agreements, and statements of work, ensuring favorable commercial terms and effective liability allocation.
  • Lead and coordinate legal due diligence, risk assessment and legal integration for M&A transactions, joint ventures, strategic investments and divestitures; prepare diligence reports, disclosure schedules, and acquisition-related documents.
  • Provide pragmatic, business‑focused advice to executive leadership and cross‑functional teams on corporate governance, board‑level reporting, shareholder matters, bylaws, and minute preparation to ensure compliance with statutory and internal governance requirements.
  • Design, implement and maintain enterprise compliance programs and policies (anti‑bribery/anti‑corruption, trade compliance, conflicts of interest, code of conduct), including monitoring, training and remediation processes to reduce regulatory and reputational risk.
  • Partner with privacy, security and product teams to advise on data protection law (GDPR, CCPA/CPRA, cross‑border transfer rules), draft and review data processing agreements, privacy notices and security annexes, and lead breach response and notification processes.
  • Manage and direct outside counsel relationships, scope of work, budgets and litigation strategy for disputes, regulatory investigations, enforcement actions and class actions to control costs and achieve favorable outcomes.
  • Provide counsel on employment and labor law issues, executive employment agreements, severance packages, restrictive covenants, and internal investigations in coordination with HR to minimize legal exposure.
  • Oversee intellectual property strategy and transactional IP work, including licensing negotiations, trademark clearance and enforcement, patent prosecution coordination and protection of trade secrets.
  • Counsel on securities and corporate finance matters for private and public companies, including SEC filings, disclosure controls, equity incentive plans, stock issuances, investor relations support and compliance with securities laws.
  • Conduct contract lifecycle management and continuous improvement: develop standard templates, playbooks, approval workflows, commercial checklists and CLM automation to accelerate contracting and reduce negotiation cycles.
  • Assess regulatory obligations across jurisdictions for new products and business models (financial services, healthcare, fintech, telecom, e‑commerce) and advise on licensing, permits and regulatory filings required for market entry.
  • Lead internal risk assessments and legal risk quantification for major initiatives; advise on mitigation strategies, insurance reviews, indemnity and limitation of liability provisions.
  • Draft and negotiate complex partner, reseller, channel and distribution agreements, aligning commercial, pricing, and warranty terms to maximize revenue while protecting the company.
  • Support cross‑border transactions and international expansion by coordinating local counsel, advising on foreign investment rules, cross‑border data flows, import/export and trade sanctions compliance.
  • Create, deliver and maintain legal training and enablement materials for commercial, product, engineering and customer success teams to raise awareness of legal risks and speed compliant decision‑making.
  • Manage statutory and corporate secretarial obligations such as filings, corporate records maintenance, minutes and resolutions to ensure ongoing corporate formalities and good standing.
  • Advise on marketing, advertising and consumer protection law matters, including claims substantiation, promotions, sweepstakes, terms of use and refund policies.
  • Develop and maintain incident response playbooks and lead legal aspects of incident response (security events, regulatory notifications, litigation hold issuance and preservation of evidence).
  • Support procurement and vendor risk management processes including vendor due diligence, SOC2/ISO review, third‑party risk questionnaires and contractual risk allocation.
  • Advise on tax structuring and coordinate with tax advisors on transaction documentation, transfer pricing considerations and indirect tax exposure in contracts and cross‑border arrangements.
  • Monitor regulatory and legislative developments, perform impact analyses, and proactively update policies and contracts to preserve compliance and operational continuity.
  • Prepare board materials and legal briefings for strategic initiatives, risk exposures and regulatory developments; present clear recommendations and options to business leaders and directors.

Secondary Functions

  • Serve as a trusted legal business partner to leadership teams by translating legal risks into prioritized business recommendations and practical next steps.
  • Support start‑up and scale‑up initiatives by building scalable legal frameworks that enable rapid experimentation while preserving legal safeguards.
  • Maintain and enhance a central legal knowledge base, clause library and FAQ resources to empower non‑legal teams and reduce external counsel spend.
  • Participate in cross‑functional project teams (product launches, financing, vendor implementations) to provide timely legal input and accelerate time to market.
  • Mentor junior legal team members and coordinate external legal training programs to raise overall team capability.
  • Track and report key legal KPIs (cycle times, outside counsel spend, contract throughput) and identify process improvements to increase efficiency and predictability.
  • Facilitate ad‑hoc stakeholder requests, conducting pragmatic risk/benefit analyses to support business decision making.
  • Support compliance audits and regulatory examinations by collecting documents, preparing responses and coordinating with regulatory counsel as needed.

Required Skills & Competencies

Education & Experience

Educational Background

Minimum Education:

  • Juris Doctor (JD), Bachelor of Laws (LLB) or equivalent professional law degree and active bar admission in relevant jurisdiction.

Preferred Education:

  • LLM or advanced degree in corporate/commercial law, MBA or certifications such as CIPP/E, CIPP/US, or Certified Compliance & Ethics Professional (CCEP).
