Core Responsibilities
Primary Functions
- Draft, review and negotiate a broad range of commercial agreements including master services agreements (MSAs), supply and distribution agreements, licensing agreements, technology and SaaS contracts, NDAs, Statements of Work, and professional services agreements, ensuring terms protect company interests while enabling commercial objectives.
- Lead and support cross-border M&A and corporate transactions by coordinating due diligence, preparing transactional documents (purchase agreements, disclosure schedules, escrow arrangements), and advising on deal structures, representations and warranties, and post-closing integration matters.
- Manage and execute corporate governance and secretarial responsibilities including preparation of board and committee materials, resolutions, minutes, share issuances, maintenance of statutory registers, and compliance with corporate laws and internal governance policies.
- Conduct comprehensive legal due diligence for deals and investments, identify material legal issues, prepare due diligence reports and itemize risks and recommended mitigations for business and senior leadership.
- Provide commercial and legal advice to product, sales, procurement, HR, finance, and operations teams on day-to-day matters, offering practical, business-oriented solutions and escalation where necessary.
- Oversee litigation and dispute resolution matters in collaboration with external counsel: manage case strategy, review pleadings and position papers, monitor legal budgets, and report risks and outcomes to business stakeholders.
- Develop, maintain and implement standardized contract templates, playbooks and clause libraries to streamline contracting processes, reduce negotiation time, and ensure consistent risk allocation company-wide.
- Perform legal research and analysis on applicable corporate, securities, employment, intellectual property, antitrust and regulatory requirements; translate findings into actionable guidance for internal stakeholders.
- Implement and maintain contract lifecycle management (CLM) systems and legal tech tools including onboarding, taxonomy design, clause tagging, system training and continuous process improvements to increase legal team efficiency.
- Lead compliance initiatives related to anti-bribery and corruption (FCPA/UKBA), trade controls, sanctions screening, and ethics programs, including policy drafting, monitoring, and third-party due diligence.
- Advise on data privacy and cross-border data transfer issues, draft and negotiate data processing agreements (DPAs), security addenda, and support compliance with GDPR, CCPA and other privacy regimes.
- Support financing, capital markets and securities filings where applicable, including preparation of subscription agreements, investor documentation, and regulatory disclosures.
- Conduct risk assessments on commercial deals, identify exposure points (indemnities, liability caps, indemnity baskets, termination rights) and propose clear, pragmatic risk allocation strategies aligned with company policy.
- Manage relationships with external law firms and outside counsel, select panels, monitor fees, negotiate engagement terms and ensure delivery of high-quality, cost-effective legal services.
- Draft and update corporate policies (conflict of interest, insider trading, whistleblower, travel and expense policy) and develop compliance training materials to roll out mandatory programs for employees.
- Coordinate and support joint ventures, strategic alliances and partner agreements including negotiation of governance terms, intellectual property treatment and exit mechanics.
- Lead internal training sessions and workshops for commercial and operational teams on key legal topics — contract negotiation best practices, data privacy fundamentals, and compliance obligations — to reduce legal escalations and enable self-service.
- Prepare and review licensing, trademark and IP assignment agreements, advise on protection strategies, and manage internal processes for IP filings and portfolio management in partnership with IP counsel.
- Monitor regulatory changes across relevant jurisdictions, advise business stakeholders of material impacts, and support implementation of changes to processes and contracts.
- Review and approve marketing, promotional and labeling materials from a legal/regulatory perspective, ensuring compliance with advertising laws, promotional codes, and product claims.
- Manage internal legal reporting and metrics: track contract inventory, turnaround times, legal spend, outstanding compliance items and present insights to leadership for resource planning.
Secondary Functions
- Partner with Legal Operations and Finance to develop and track legal budgets, forecast spend, and optimize outside counsel usage.
- Support continuous improvement projects for the legal function including workflow automation, playbook updates, and adoption of e-signature and CLM efficiencies.
- Assist HR with employment-related matters such as executive employment agreements, termination documentation, severance arrangements and internal investigations.
- Support cross-functional projects (product launches, vendor onboarding, global expansions) by providing timely legal risk assessments, go/no-go recommendations and checklist completion.
- Coordinate internal and external audits requiring legal input, provide responses to regulatory inquiries and prepare supporting legal documentation.
- Serve as a point-of-contact for contract migrations, integrations after acquisitions, and clean-up of legacy contractual obligations.
- Maintain accurate legal filing systems, contract repositories and version control to ensure audit-readiness and quick retrieval of contractual records.
- Conduct periodic contract and policy compliance spot-checks and recommend remediation actions where necessary.

Minimum Education:
