Core Responsibilities
Primary Functions
- Draft, review and negotiate a wide range of commercial contracts including master service agreements, SaaS and software licenses, distribution agreements, supply and procurement contracts, NDAs, reseller and channel agreements, and professional services contracts to protect commercial interests while enabling speed to market.
- Provide proactive legal guidance and business-focused advice to product, sales, marketing, finance and operations teams on contractual risk allocation, liability limits, indemnities, termination clauses, warranties and service levels for global transactions.
- Lead due diligence, legal risk assessment and documentation for M&A transactions, joint ventures, investments and divestitures, coordinating information gathering, preparing diligence reports, and working with external counsel to close deals.
- Manage corporate governance and statutory obligations, including preparing board materials and resolutions, supporting board and committee meetings, maintaining corporate records, and advising on director and officer duties and conflicts of interest.
- Develop, implement and maintain compliance programs and policies addressing anti-corruption (FCPA), anti-bribery, trade controls, sanctions, export controls, and other regulatory frameworks applicable to the business.
- Oversee and coordinate litigation, arbitration and dispute resolution matters by developing strategy, managing outside counsel, monitoring budgets, preparing witness statements, and advising senior leadership on exposure and settlement strategy.
- Advise on employment and workforce-related legal issues including employment agreements, restrictive covenants, termination processes, workplace investigations, discrimination and wage & hour matters to mitigate HR and litigation risk.
- Lead privacy and data protection compliance efforts, advising on GDPR, CCPA and other global privacy regimes, drafting data processing agreements, privacy policies, and supporting privacy impact assessments alongside security and product teams.
- Serve as primary internal counsel for intellectual property matters including trademark and copyright strategy, licensing agreements, technology development contracts, enforcement and clearance assessments.
- Structure, negotiate and document commercial and financing arrangements, including loan agreements, security documents, intercompany arrangements, hedging agreements and treasury/escrow arrangements in coordination with Finance.
- Draft and review regulatory filings, disclosures and communications for compliance with securities laws and listing requirements where applicable, and coordinate with external advisors on SEC or stock exchange matters.
- Conduct and lead internal investigations into allegations of misconduct, compliance breaches or fraud, working cross-functionally with HR, compliance and security, and recommending remedial actions.
- Maintain and improve contract lifecycle management processes and systems, implementing templates, playbooks and CLM tools to streamline contracting, reduce legal bottlenecks and ensure version control and auditability.
- Provide practical guidance on antitrust and competition law issues related to pricing, distribution, joint ventures, M&A and marketing activities, and coordinate with external counsel for complex competition matters.
- Review and advise on marketing, advertising and consumer protection issues including claims substantiation, promotions, product labeling and regulatory compliance for consumer-facing materials.
- Prepare, negotiate and maintain licensing and technology agreements including open source assessments, software development agreements, SaaS arrangements and third-party integrations with attention to IP ownership and indemnities.
- Advise on cross-border legal issues, coordinate with local counsel across jurisdictions, and ensure contractual clauses and compliance measures reflect international legal and regulatory requirements.
- Provide ongoing commercial legal support for sales and procurement teams, including playbook creation for standard contract terms, escalation protocols for non-standard terms, and rapid turnarounds for customer and supplier negotiations.
- Monitor and interpret new laws, regulatory developments and industry trends that affect the business, proactively updating policies and advising leadership on strategic legal implications.
- Manage outside counsel relationships including selection, engagement terms, fee arrangements, and performance evaluation to ensure cost-effective and high-quality legal support for litigation, tax, IP, regulatory and transactional matters.
- Draft and maintain internal policies and employee-facing documents (codes of conduct, conflict of interest policies, sanctions screening procedures) and design training programs to increase legal and regulatory awareness across the organization.
- Advise on product compliance matters such as safety, labeling, consumer goods regulations, medical device or fintech regulatory regimes where applicable, partnering with product and regulatory affairs teams to obtain approvals or certifications.
Secondary Functions

Required Skills & Competencies
Hard Skills (Technical)

Educational Background
Minimum Education:
