Core Responsibilities

Primary Functions

  • Develop and execute the corporate legal strategy, ensuring it aligns with the organization's overarching business objectives and promotes and protects the company's interests.
  • Serve as the primary legal advisor to the CEO, executive team, and Board of Directors, offering expert and strategic counsel on a vast range of legal, regulatory, and corporate governance matters.
  • Oversee the comprehensive delivery of all legal services and resources, structuring the legal function to efficiently support corporate goals, strategies, and priorities.
  • Act as the lead legal counsel on all major business transactions, including guiding the structure, negotiation, and execution of mergers, acquisitions, divestitures, and strategic joint ventures.
  • Manage the company's entire litigation portfolio, which includes directing case strategy, overseeing outside counsel, managing discovery, and controlling budgets for all legal disputes and proceedings.
  • Ensure and certify the company's full compliance with all applicable laws, regulations, and industry standards across all jurisdictions in which it operates.
  • Lead the corporate governance function by advising the Board of Directors and its committees on their fiduciary duties and responsibilities, managing board processes, and ensuring the integrity of corporate records.
  • Personally draft, review, and negotiate a wide variety of high-stakes, complex commercial agreements, including master service agreements, strategic partnership deals, and critical vendor contracts.
  • Formulate and implement a robust intellectual property strategy to identify, protect, and leverage the company's patents, trademarks, copyrights, and trade secrets as valuable business assets.
  • Build, mentor, and manage a high-performing internal legal team, fostering a culture of collaboration, professional development, and proactive business partnership.
  • Design, implement, and enforce internal policies, procedures, and controls to mitigate legal risks and ensure a culture of ethical conduct and compliance across the organization.
  • Strategically manage all relationships with and the performance of external law firms and legal service providers, negotiating fee arrangements and ensuring cost-effective, high-quality legal support.
  • Provide expert guidance on all significant employment law matters, including executive compensation, employee relations issues, internal investigations, and compliance with labor regulations.
  • Oversee the legal aspects of corporate finance activities, including capital-raising transactions, securities law compliance, and public company reporting requirements (if applicable).
  • Lead the continuous development and implementation of the company’s global data privacy and security legal framework, ensuring compliance with GDPR, CCPA, and other evolving privacy regulations.
  • Provide definitive legal guidance on marketing, advertising, and public relations initiatives to ensure compliance with consumer protection laws and advertising standards.
  • Manage and provide legal oversight for all real estate matters, including complex lease negotiations, property acquisitions, and dispositions.
  • Conduct or supervise sensitive internal investigations into alleged violations of law or company policy, ensuring fairness, confidentiality, and thoroughness.
  • Proactively monitor and analyze legislative and regulatory changes that could impact the company's operations, providing timely and strategic advice to relevant business stakeholders.
  • Serve as a key member of the senior leadership team, acting as a cultural steward and championing the company's values, mission, and ethical standards in all actions.
  • Direct comprehensive legal due diligence for all potential M&A activities, from initial risk assessment and structuring through to post-merger integration planning and execution.
  • Structure, draft, and negotiate complex technology-focused agreements, including software licensing, SaaS, product development, and strategic alliance contracts.

Education & Experience

Educational Background

Minimum Education:

  • Juris Doctor (J.D.) or an equivalent law degree from an accredited institution.

Experience Requirements

Typical Experience Range:

15+ years of progressive legal experience.

Preferred:

A combination of foundational training at a top-tier law firm followed by significant in-house experience, including at least 5-7 years in a leadership capacity (e.g., Deputy GC, Head of Legal for a division). Experience in the company's specific industry is highly desirable.
