Core Responsibilities
Primary Functions
- Draft, review and negotiate a high volume of commercial contracts and agreements (including master services agreements, statements of work, software licenses, reseller/distribution agreements, NDAs, SaaS agreements and vendor contracts) with an emphasis on protecting company interests while enabling sales and partnerships.
- Provide day-to-day legal advice to business leaders on commercial transactions, product launches, marketing initiatives, pricing and strategic partnerships to ensure legal risk is identified and mitigated without blocking growth.
- Lead and coordinate due diligence and documentation in mergers, acquisitions, investments and divestitures, prepare transaction documents, manage timelines, and coordinate with external counsel and finance teams to close deals.
- Advise on corporate governance matters including board and committee materials, preparation of board minutes, charter reviews, director/officer responsibilities, and compliance with corporate formalities for multiple entities.
- Develop, implement and maintain corporate policies and compliance programs (anti-bribery/anti-corruption, code of conduct, data privacy, information security, export controls) and lead periodic risk assessments and remediation plans.
- Manage litigation and dispute resolution strategy by overseeing outside counsel, monitoring budgets, coordinating evidence and witness preparation, and recommending settlement vs. litigation strategies aligned with company goals.
- Counsel on employment and labor matters including employee contracts, independent contractor classification, termination risk, restrictive covenants, accommodation and leave issues, and coordination with HR on investigations.
- Oversee the company’s intellectual property portfolio (trademarks, patents where applicable), advise on IP protection strategy, licensing and enforcement, and support product and engineering teams on freedom-to-operate and infringement risk.
- Provide regulatory and compliance advice for industry-specific regulation (e.g., securities, financial services, healthcare, advertising, telecommunications) and collaborate with government affairs or regulatory teams on filings and responses.
- Lead responses to data breaches, coordinate with security and privacy teams, manage notifications, and advise on regulatory reporting obligations (e.g., GDPR, CCPA).
- Develop and maintain standard contract templates, playbooks, and approval workflows to streamline contracting and reduce legal bottlenecks while training business teams on usage and escalation points.
- Advise on marketing, advertising and promotional matters to ensure compliance with consumer protection laws, FTC guidelines, digital marketing rules and influencer contracts.
- Provide legal input into product development and roadmaps, particularly where regulated functionality, privacy-by-design or export controls are implicated.
- Conduct internal investigations into alleged misconduct, coordinate interviews, collect and preserve evidence, recommend corrective actions, and document outcomes consistent with corporate policy.
- Negotiate complex commercial frameworks including enterprise SaaS deals, channel partner agreements, distribution arrangements and strategic alliance contracts balancing price, liability, IP and SLA exposure.
- Review and advise on financing documents, debt facilities, convertible notes and investor agreements; support fundraising rounds and assist with securities/compliance filings where required.
- Oversee entity management and corporate housekeeping tasks including incorporations, statutory filings, minute books, filings across multiple jurisdictions and foreign qualification matters.
- Create and deliver legal training for employees and managers on topics like contract basics, data privacy, anti-corruption and ethics to raise legal awareness and reduce operational risk.
- Monitor changes in applicable law and regulation, perform impact analyses, and proactively update policies and business practices to maintain compliance.
- Manage and optimize relationships with outside counsel and external vendors, negotiate fee arrangements, track matter budgets and ensure cost-effective, high-quality legal support.
- Prepare and review procurement and vendor due diligence materials, negotiate supplier terms and work with procurement to implement risk mitigation measures.
- Support cross-functional projects (product launches, international expansion, regulatory audits) by embedding with teams, identifying legal touchpoints and delivering actionable legal solutions on tight timelines.
- Advise on pricing, inducements, rebate programs and partner incentive structures to ensure compliance with anti-rebate, antitrust and industry-specific rules.
- Coordinate with finance and tax advisors on intercompany agreements, transfer pricing documentation and tax related contract provisions to ensure alignment across disciplines.
- Draft and negotiate settlement agreements, releases and confidentiality agreements in connection with disputes or employee separations, ensuring enforceability and appropriate protections.

- Maintain and update a centralized legal knowledge base, templates and clause libraries to accelerate contract review and negotiation cycles.
- Support ad-hoc legal requests from business units and perform rapid legal intake triage to prioritize matters by risk and commercial impact.
- Contribute to the legal department’s operating plan, budget forecasting, vendor selection and metrics to demonstrate value and improve cycle times.
- Participate in cross-functional working groups (product, security, HR, sales, finance) to embed legal controls and proactively shape business policies.
- Help design, roll out and refine self-service contracting tools and standardized approval matrices to reduce unnecessary legal review on low-risk matters.
- Provide periodic reporting and dashboards to senior leadership on legal risk, open matters, compliance audit outcomes and outside counsel spend.

Education & Experience
Educational Background
Minimum Education:
- Juris Doctor (JD), Bachelor of Laws (LLB) or equivalent from an accredited law school and active admission to the bar in at least one U.S. state or relevant jurisdiction.
Preferred Education:
- Advanced legal degrees (LL.M.) or certifications in data privacy, compliance or corporate law; bar membership in the company’s principal operating jurisdiction(s).
