Primary Functions

  • Draft, review and negotiate a broad range of commercial agreements, including master service agreements (MSAs), statements of work (SOWs), software licenses, reseller and distribution agreements, NDAs, and professional services contracts, ensuring terms align with company risk tolerance and commercial objectives.

  • Manage litigation and dispute resolution by overseeing outside counsel, developing strategy, managing budgets, coordinating discovery and witness preparation, and negotiating settlements where appropriate.
  • Counsel the business on data privacy and cybersecurity issues including GDPR, CCPA and other data protection laws, review data processing agreements, and advise on incident response and breach notification obligations.

  • Partner with HR and employment counsel to advise on hiring, terminations, severance agreements, restrictive covenants, employee equity plans and employment law compliance across jurisdictions.
  • Prepare, review and manage consumer-facing legal notices, terms of service, privacy policies and cookie statements in coordination with product and engineering teams to ensure lawful consumer interactions and minimize class-action risk.
  • Drive cross-functional training and workshops for sales, product and engineering teams on contract fundamentals, privacy-by-design principles and regulatory red flags to reduce legal friction and accelerate go-to-market activities.
  • Implement legal operations best practices: matter intake, outside counsel panel management, budget controls, technology enablement (CLM, e-billing, compliance tools) and metrics reporting to senior leadership.

Education & Experience

Educational Background

Minimum Education:
