Core Responsibilities
Primary Functions
- Originate and cultivate client relationships by identifying strategic and financing opportunities, conducting client meetings, pitching tailored solutions, and maintaining a high-conversion deal pipeline across sectors and geographies.
- Build, audit, and maintain robust financial models (three-statement, DCF, accretion/dilution, LBO, merger models) to evaluate transaction economics and support client recommendations and internal approvals.
- Perform comprehensive valuations using discounted cash flow (DCF), comparable companies, precedent transactions, sum-of-the-parts, and LBO analyses; prepare valuation write-ups that defend assumptions and sensitivity ranges.
- Prepare high-impact pitchbooks, offering memoranda (OM/CIM), management presentations, board materials, and investor-facing roadshow decks using PowerPoint and data from Excel models.
- Lead end-to-end M&A execution: target identification and outreach, confidentiality agreements, negotiation support, coordinating due diligence, drafting term sheets, and closing mechanics to achieve client objectives.
- Structure and execute equity and debt capital markets transactions, including IPOs, follow-on offerings, private placements, convertible notes, high-yield and investment grade bond issuances, and syndicated loan facilities.
- Coordinate and drive thorough due diligence processes—financial, tax, legal, operational and commercial—by liaising with internal teams, external law firms, accountants, industry experts and buyers/investors.
- Draft, review and negotiate key transaction documents including term sheets, purchase agreements, underwriting agreements, shareholder agreements, and disclosure schedules, ensuring alignment with client objectives and legal counsel.
- Manage deal logistics and project plans: set milestone deadlines, assign internal resources, control deliverables, and ensure seamless execution across multiple concurrent transactions.
- Lead pricing, covenant and structure discussions with investors, lenders and counterparties to optimize deal economics and protect client interests; perform market sounding and syndication strategy.
- Prepare internal investment committee memoranda, risk assessments, and approval materials that clearly present upside, downside, and mitigation strategies for senior management and compliance.
- Conduct market, industry and competitor research to identify sector trends, strategic buyers, financial sponsors and potential acquirers; synthesize findings into actionable client recommendations.
- Coordinate with distribution, syndicate, sales & trading, research and compliance teams for public offerings and related execution activities to maximize deal distribution and pricing outcomes.
- Manage junior staff: mentor analysts and associates, review and quality-control financial models and deliverables, provide feedback and foster technical development.
- Create and maintain secure virtual data rooms and manage information flow between sellers, buyers, and advisors to protect confidentiality and streamline diligence workflows.
- Analyze capital structure optimization opportunities and advise clients on refinancing, recapitalization, dividend recap, liability management and covenant negotiation.
- Lead cross-border and multi-jurisdictional deals by managing FX exposure, tax structuring, regulatory approvals, and coordinating international counsel and advisors.
- Prepare fairness opinions, valuation memoranda and board-level advisory materials that support fiduciary duties and stakeholder decision-making processes.
- Advise on restructuring and distressed scenarios: coordinate creditor negotiations, covenant waivers, debt-for-equity solutions, creditor committees and court-led processes when applicable.
- Deliver ongoing client service and relationship stewardship: provide market updates, post-deal performance reporting, and strategic follow-up to convert advisory engagements into long-term client mandates.
- Produce investor outreach strategies, manage roadshow logistics, engage with buy-side investors, and coordinate pricing and allocation recommendations during bookbuilding.
- Monitor regulatory developments (SEC, FCA, EU rules, local securities laws), tax changes and compliance requirements that impact deal structures and disclosure obligations; ensure all transaction workstreams adhere to regulatory standards.
- Maintain and report pipeline metrics, deal flow analytics and revenue forecasts in CRM systems; present business development updates to practice leadership.
- Produce thought leadership, sector research, and client-facing market commentary to build brand, drive inbound opportunities and support business development initiatives.
- Oversee post-merger integration planning and synergy realization assessments, working with clients to track KPI delivery and operational performance against transaction targets.
