Core Responsibilities
Primary Functions
- Provide strategic and timely legal advice to executive leadership and cross-functional teams on a broad range of legal and regulatory issues.
- Draft, review, and negotiate a high volume of complex commercial agreements, including SaaS, master services, vendor, partnership, and non-disclosure agreements.
- Advise on corporate governance matters, including preparing board materials, managing corporate records, and ensuring compliance with corporate formalities.

- Manage and oversee litigation, disputes, and pre-litigation claims, including coordinating with and managing outside counsel effectively.
- Conduct legal research and analysis on a variety of legal issues, providing clear, concise summaries and actionable recommendations to business stakeholders.
- Advise the HR department on employment law matters, including hiring, termination, employee relations, and compliance with labor laws.
- Support mergers and acquisitions (M&A) and other strategic transactions, including conducting due diligence, drafting transaction documents, and assisting with integration.
- Structure, draft, and negotiate complex technology and commercial transactions, including software licensing, cloud services, and strategic alliances.
- Proactively identify and analyze legal risks and their potential impact on the business, proposing practical and creative solutions to mitigate them.
- Provide legal support for marketing and advertising initiatives, reviewing materials for compliance with advertising standards and regulations.
- Assist in the management of the company's global legal entity structure, including formation, maintenance, and dissolution of subsidiaries.
