Core Responsibilities

Primary Functions

  • Conduct comprehensive legal and factual research on complex federal, state, and local statutes, regulations, and case law using platforms like Westlaw, LexisNexis, and other legal research tools.
  • Prepare detailed summaries, memoranda, and presentations based on research findings to inform attorneys and business stakeholders of potential impacts and legal risks.
  • Draft, review, and revise a wide variety of commercial agreements, including non-disclosure agreements (NDAs), master services agreements (MSAs), statements of work (SOWs), and vendor contracts.
  • Manage the entire contract lifecycle from intake and drafting through negotiation, execution, and post-execution obligations, utilizing contract lifecycle management (CLM) software.
  • Provide essential litigation support by managing case files, responding to discovery requests, preparing and issuing legal holds, and organizing voluminous document productions.
  • Assist in responding to third-party subpoenas, government inquiries, and other formal requests for information, ensuring responses are timely, accurate, and complete.
  • Support corporate governance activities by assisting with the preparation of board meeting materials, drafting corporate resolutions, and maintaining corporate minute books.
  • Manage corporate entity formations, dissolutions, and foreign qualifications, ensuring all entities remain in good standing with relevant secretaries of state.
  • Monitor proposed and enacted legislation and regulations relevant to the company's industry and operations, and analyze their potential impact on business practices.
  • Assist in the development, implementation, and maintenance of corporate policies, procedures, and compliance training programs across the organization.
  • Triage and manage the legal department's intake process, assessing the urgency and nature of requests from business units and assigning them to the appropriate legal team member.
  • Support the intellectual property portfolio by tracking trademark and patent deadlines, assisting with filings, and conducting preliminary trademark clearance searches.
  • Coordinate with outside counsel on various matters, including managing workflows, tracking case progress, and reviewing and processing legal invoices.
  • Investigate factual and legal issues related to pre-litigation disputes and customer complaints, summarizing findings to help formulate a legal strategy.
  • Assist with merger and acquisition (M&A) due diligence by organizing data rooms, reviewing target company documents, and summarizing key findings and potential risks.
  • Develop and maintain standardized legal templates, forms, and clause libraries to improve the efficiency and consistency of the legal department's work product.
  • Provide direct, substantive support to attorneys in preparation for transactions, depositions, hearings, and trials.
  • Manage and track the legal department's budget, including accruals and spending against forecasts, in collaboration with the finance department.
  • Perform initial reviews of marketing and promotional materials to ensure compliance with advertising laws and company guidelines.
  • Assist in managing the company's data privacy program, including supporting data subject access requests (DSARs) and helping to maintain records of processing activities.

Secondary Functions

  • Support ad-hoc legal research requests and preliminary case analysis for emerging business initiatives.
  • Contribute to the legal department's technology and process improvement initiatives, including the evaluation and implementation of new legal tech tools.

  • Participate in departmental meetings, project planning sessions, and cross-functional team initiatives to provide a legal support perspective.

Required Skills & Competencies

Hard Skills (Technical)

  • Advanced Legal Research: Mastery of online legal research databases such as Westlaw, LexisNexis, and PACER to efficiently find relevant statutes, regulations, and case law.
  • Contract Management Software: Proficiency with Contract Lifecycle Management (CLM) platforms (e.g., Ironclad, Conga, Agiloft) for tracking and managing agreements.
  • eDiscovery Platforms: Experience with eDiscovery tools (e.g., Relativity, Logikcull) for document review, legal holds, and production in litigation.

Education & Experience

Educational Background

Minimum Education:

A Bachelor's Degree from an accredited four-year university or college is required. An ABA-approved Paralegal Certificate is often required or highly preferred.

Preferred Education:

A Juris Doctor (J.D.) from an ABA-accredited law school. Bar admission is not required for this role but is considered a significant asset.
