Core Responsibilities
Primary Functions
- Provide expert, timely, and strategic legal advice to executive leadership and business stakeholders on a diverse range of legal topics, including corporate law, commercial transactions, and employment law.
- Draft, review, and negotiate a wide variety of complex commercial agreements, including master service agreements, SaaS agreements, partnership agreements, licensing agreements, and vendor contracts.
- Conduct comprehensive legal research and analysis on multifaceted legal issues, regulations, and judicial decisions to support business operations and strategic initiatives.
- Manage and oversee corporate governance matters, including board resolutions, minutes, and compliance with corporate formalities and reporting requirements.
- Advise on risk management and mitigation strategies, identifying potential legal liabilities and developing practical solutions to minimize exposure.
- Oversee and manage litigation, disputes, and regulatory investigations, coordinating with and managing external counsel to achieve favorable outcomes.
- Ensure company-wide compliance with applicable laws and regulations, including data privacy laws (like GDPR and CCPA), anti-bribery laws, and industry-specific regulations.
- Develop, implement, and maintain internal legal policies, procedures, and templates to improve efficiency and ensure legal consistency.
- Provide legal support for mergers, acquisitions, and other corporate transactions, including conducting due diligence, drafting transaction documents, and assisting with post-closing integration.
- Advise on intellectual property matters, including the protection of trademarks, copyrights, and trade secrets, and manage the company's IP portfolio.
- Structure, draft, and negotiate complex client-facing and vendor-facing commercial and technology transactions.
- Counsel human resources teams on employment law issues, including hiring, terminations, discrimination, and employee relations matters.
- Stay abreast of legislative and regulatory developments relevant to the company's industry and provide proactive advice on potential impacts.
- Deliver training to business teams on key legal topics, such as contract negotiation, data privacy, and compliance obligations.
- Act as the primary point of contact for legal matters within assigned business units, building strong relationships and serving as a trusted advisor.
