Core Responsibilities

Primary Functions

  • Masterfully draft, review, and negotiate a high volume and wide array of commercial agreements, including Master Services Agreements (MSAs), Statements of Work (SOWs), non-disclosure agreements (NDAs), software licensing (SaaS) agreements, vendor contracts, and partnership agreements.
  • Take full ownership of the end-to-end contract lifecycle management process, ensuring timely review, approval, execution, and archiving of all legal documents.
  • Serve as a trusted legal advisor to internal business partners, providing practical, solution-oriented guidance on contract interpretation, legal risks, and compliance obligations.
  • Develop, refine, and maintain the company's library of standard contract templates, clause libraries, and legal playbooks to streamline negotiations and ensure consistency.
  • Proactively identify, analyze, and mitigate legal and commercial risks embedded within contractual terms and business proposals, escalating complex issues to senior leadership as needed.
  • Ensure all contractual activities and business operations adhere to relevant laws, industry regulations, and internal corporate policies and procedures.
  • Administer and optimize the company's contract management system (CMS), driving user adoption and leveraging its capabilities for reporting and analytics.
  • Manage and respond to pre-litigation claims and commercial disputes, working to find amicable resolutions while protecting the company's interests.
  • Conduct thorough legal research on diverse issues impacting the business, such as data privacy, intellectual property rights, and new legislation.
  • Provide critical support for corporate transactions, including M&A, by leading or assisting with legal due diligence and post-acquisition contract integration.
  • Design and deliver engaging training programs for sales, procurement, and other teams on contract processes, negotiation best practices, and key compliance topics.
  • Advise on the protection and enforcement of the company's intellectual property rights, including trademarks, copyrights, and trade secrets, within commercial agreements.
  • Manage corporate governance matters, including entity formation, maintenance of corporate records, and ensuring compliance with statutory requirements.
  • Effectively manage relationships with and the budget for external legal counsel, engaging them for specialized advice when necessary.
  • Develop, implement, and enforce internal policies and procedures to improve the efficiency and effectiveness of the legal function.
  • Counsel stakeholders on data privacy and security implications within contracts, ensuring compliance with regulations like GDPR and CCPA.
  • Act as a key partner to the sales and procurement departments, providing real-time support during high-stakes negotiations to close deals and secure favorable terms.
  • Continuously monitor legislative and regulatory changes that could impact the company's operations and contractual obligations, and advise the business accordingly.
  • Lead and participate in critical cross-functional projects, providing the legal perspective to ensure successful and compliant outcomes.
  • Prepare and present regular reports to leadership on key legal metrics, contract status, risk exposure, and departmental performance.
  • Skillfully review and approve marketing collateral, press releases, and other public-facing communications to ensure legal and brand compliance.
  • Systematically manage the company’s contract database, ensuring all agreements are properly filed, tracked, and key dates (like renewals and expirations) are monitored.

  • Support ad-hoc legal research and exploratory analysis requests from various business units to inform strategic decisions.
  • Contribute to the development and refinement of the organization's overall risk management strategy and compliance framework.
  • Collaborate closely with finance, sales, and operations teams to translate complex business requirements into clear, unambiguous contractual language.
  • Participate in strategic planning sessions and leadership meetings, offering a valuable legal and risk-aware perspective on new initiatives.

Required Skills & Competencies

Education & Experience

Educational Background

Minimum Education:

Experience Requirements

Typical Experience Range:

  • 5-10 years of progressive legal experience focused on commercial contracts and corporate law.
