Core Responsibilities
Primary Functions
- Conduct comprehensive legal research and analysis on a wide range of issues, including statutory interpretation, case law, and regulatory compliance, using platforms like Westlaw and LexisNexis.
- Draft, review, and revise legal documents, memoranda, and corporate policies under the supervision of senior attorneys.
- Assist in the preparation for litigation, depositions, and hearings by organizing documents, summarizing case files, and preparing exhibits.
- Monitor and analyze new legislation, regulations, and judicial decisions that could impact the company's operations and present findings to the legal team.
- Support the corporate legal team with M&A due diligence, including detailed document review and data room management.
- Assist with intellectual property matters, such as conducting preliminary trademark searches, supporting patent application processes, and drafting IP-related agreements.
- Prepare clear and concise summaries of legal research findings and present them to supervising attorneys for review and strategic discussion.
- Participate in client meetings, internal strategy sessions, and conference calls with outside counsel, taking detailed notes and identifying action items.
- Help manage the entire contract lifecycle, from initial drafting and negotiation support to execution, filing, and post-execution management.
- Respond to subpoenas and other legal requests by gathering, reviewing, and producing relevant documents in an organized and timely manner.
- Support enterprise-wide compliance initiatives by researching regulatory requirements and assisting with the development and updating of internal policies and procedures.
- Draft professional correspondence and communications to outside counsel, clients, government agencies, and opposing parties.
- Perform meticulous legal and factual cite-checking for briefs, motions, and other formal legal filings to ensure accuracy and adherence to Bluebook or other citation standards.
- Assist with corporate governance matters, including preparing materials for board of directors meetings and drafting corporate resolutions and meeting minutes.
- Review and analyze a variety of commercial agreements (e.g., NDAs, vendor contracts, service agreements), identifying potential risks and non-standard terms.
- Contribute to the development and maintenance of the legal department's knowledge management resources, including legal templates and research databases.
- Support the legal team in managing outside counsel relationships by helping to track legal spend and project progress.
- Handle discrete special projects and complex assignments as directed by supervising attorneys, demonstrating flexibility and a capacity to learn quickly.
- Assist in the management of the company's litigation docket, including tracking key deadlines, case statuses, and discovery schedules.
- Provide support on privacy and data security matters, including reviewing data processing agreements (DPAs) and assisting with privacy impact assessments.
- Prepare and file corporate formation and registration documents with various state and federal agencies.
- Engage in pro bono activities and projects sponsored by the company's legal department to develop skills and contribute to the community.
Secondary Functions
- Provide administrative support to the legal team, including organizing electronic and physical files, and managing legal document repositories.
- Attend departmental and cross-functional meetings to gain broad insight into business operations and the role of the legal function.

Education & Experience
Educational Background
Minimum Education:
