Core Responsibilities

Primary Functions

  • Draft, review, and meticulously negotiate a wide array of commercial agreements, including SaaS, vendor, partnership, and non-disclosure agreements, to protect the company's interests.
  • Provide timely and pragmatic legal advice and strategic guidance to senior management and various business units on a diverse range of legal issues, such as corporate law, employment, intellectual property, and data privacy.
  • Develop, implement, and maintain the company's corporate governance framework, ensuring compliance with all statutory and regulatory requirements.
  • Manage and oversee the company's litigation portfolio and pre-litigation disputes, effectively liaising with and managing external counsel to achieve favorable outcomes.
  • Establish and refine internal legal policies, procedures, and standardized contract templates to enhance efficiency and ensure legal consistency across the organization.
  • Conduct in-depth legal research and analysis on new and proposed legislation, regulations, and case law to assess potential impacts on the business and advise on necessary actions.
  • Manage the company's intellectual property portfolio, including trademarks, copyrights, and patents, from registration to enforcement actions.
  • Provide critical legal support for corporate transactions, including mergers, acquisitions, and financing rounds, by conducting thorough due diligence and drafting related documentation.
  • Ensure and monitor the company's compliance with global data protection and privacy laws, such as GDPR and CCPA, and assist in developing data privacy policies and procedures.
  • Proactively identify, analyze, and mitigate potential legal and commercial risks across all business operations, developing robust risk management strategies.
  • Handle all company secretarial duties, including preparing for board and committee meetings, drafting minutes and resolutions, and managing statutory filings and corporate records.
  • Advise the Human Resources department on complex employment law matters, including employee relations, disciplinary actions, terminations, and drafting employment-related policies and agreements.
  • Collaborate with the marketing and sales departments to review advertising materials, promotional content, and public statements for legal compliance and risk.
  • Design and deliver engaging training programs for employees on critical legal and compliance topics, such as contract management, data privacy, and anti-bribery laws.
  • Manage relationships with external law firms, including selection, cost management, and performance evaluation, to ensure high-quality and cost-effective legal services.
  • Advise on legal aspects of real estate transactions, including drafting and negotiating commercial lease agreements and property-related contracts.
  • Serve as the primary point of contact for and manage responses to regulatory inquiries, audits, and investigations from government agencies.
  • Review and provide expert advice on the company's insurance policies and coverage to ensure adequate protection against business risks.
  • Support the Finance department by providing legal review and guidance on financing arrangements, credit agreements, and other financial transactions.
  • Continuously monitor the legal and regulatory landscape relevant to the industry, providing proactive updates and strategic recommendations to the leadership team.
  • Provide comprehensive legal support for international business operations and expansion initiatives, navigating cross-border legal complexities.
  • Develop and manage a centralized system for legal documentation and contract lifecycle management to ensure accessibility and proper record-keeping.

Secondary Functions

  • Assist in the continuous improvement of legal department processes and the implementation of legal technology solutions.
  • Support cross-functional projects by providing legal input from conception to completion.
  • Contribute to the development and promotion of an ethical and compliant corporate culture.
  • Prepare and present regular reports to senior management on legal activities, risks, and compliance status.

Required Skills & Competencies

Hard Skills (Technical)

  • Expertise in Contract Drafting, Negotiation, and Lifecycle Management

Education & Experience

Educational Background

Minimum Education:

  • Juris Doctor (J.D.), Bachelor of Laws (LL.B.), or equivalent law degree.

Experience Requirements

Typical Experience Range: 3-7 years of post-qualification experience, either in-house or at a reputable law firm.
