Core Responsibilities
Primary Functions
- Draft, review, redline, and negotiate a high volume of commercial contracts, including but not limited to Non-Disclosure Agreements (NDAs), Master Service Agreements (MSAs), Statements of Work (SOWs), vendor agreements, and software licensing agreements.
- Manage the end-to-end contract lifecycle process, from initial request and drafting through negotiation, execution, storage, and renewal tracking, utilizing our Contract Lifecycle Management (CLM) system.
- Conduct comprehensive legal research and analysis on a diverse range of topics, including federal and state regulations, corporate law, intellectual property, and data privacy, summarizing findings for attorney review.
- Assist in managing the company's corporate governance framework, including preparing board and committee meeting materials, drafting resolutions and consents, and maintaining corporate minute books and records.
- Support litigation and pre-litigation matters by assisting with legal holds, managing discovery processes (including document collection and review), and coordinating with outside counsel.
- Respond to third-party subpoenas, garnishments, and other legal notices by gathering, analyzing, and producing required information in a timely and accurate manner.
- Maintain and manage the company's intellectual property portfolio, tracking trademark and patent deadlines, assisting with new filings, and monitoring for potential infringement.
- Provide frontline support to business teams (e.g., Sales, Marketing, Procurement) on routine legal inquiries, escalating complex issues to the appropriate attorney when necessary.
- Assist in the development, implementation, and continuous improvement of corporate policies, procedures, and best-practice guidelines to ensure ongoing legal and regulatory compliance.
- Manage the legal department's entity management system, overseeing domestic and international subsidiary compliance, annual filings, and corporate secretarial matters.
- Review marketing collateral, press releases, and other public-facing communications to ensure compliance with advertising laws, FTC guidelines, and brand standards.
- Support M&A and other strategic transactions by assisting with due diligence efforts, organizing data rooms, and aiding in post-closing integration activities.
- Administer the legal department's billing process, including the intake, review, and processing of invoices from outside law firms and legal vendors.
- Assist in responding to data subject requests (DSRs) and support the privacy program by helping to maintain records of processing activities (ROPAs) and other privacy-related documentation.
- Develop and maintain legal department templates, playbooks, and other resources to standardize processes and improve efficiency.
- Support internal investigations related to compliance, ethics, or employee relations matters, ensuring a fair, confidential, and thorough process.
- Prepare and file state and federal regulatory reports and registrations as required for the business.
- Serve as a key user and administrator for legal technology tools, including e-billing, e-signature, and document management systems.
- Coordinate the onboarding of new legal vendors and outside counsel, ensuring proper engagement letters and billing arrangements are in place.
- Assist in developing and delivering training materials for business partners on key legal topics such as contract negotiation, data privacy, and the company's code of conduct.
- Organize and maintain legal department files, documents, and knowledge management resources to improve efficiency and institutional knowledge.
Secondary Functions
- Assist with special projects assigned by the General Counsel and other attorneys, providing research, coordination, and administrative support.
- Contribute to the continuous improvement of legal operations by identifying opportunities for process enhancements and technology adoption.
- Act as a liaison between the legal department and other business units to facilitate communication and project execution.
- Monitor legal and regulatory developments relevant to the company and its industry, providing concise summaries and potential impact analyses.
Required Skills & Competencies

Education & Experience
Educational Background
Minimum Education:
- Bachelor's Degree and/or a Paralegal Certificate from an ABA-approved program.
