Core Responsibilities
Primary Functions
- Provide daily leadership, mentorship, and direct supervision to a team of paralegals, legal assistants, and junior attorneys, overseeing their caseloads, performance, and professional development.
- Manage the workflow and assignment of legal matters within the team, ensuring efficient and equitable distribution of tasks and alignment with departmental priorities.
- Conduct in-depth review, drafting, and negotiation of a wide range of complex commercial agreements, including vendor contracts, master service agreements, licensing agreements, and NDAs.
- Oversee the company's litigation portfolio, coordinating with outside counsel, directing discovery processes, and developing case strategies to mitigate risk and achieve favorable outcomes.
- Act as a primary legal advisor to various business units, providing pragmatic and timely counsel on issues related to commercial transactions, marketing, intellectual property, and employment law.
- Develop, implement, and manage the company's corporate governance framework, including board meeting preparation, minute-taking, and entity management.
- Lead internal investigations into compliance-related matters, ethics complaints, or potential legal violations, ensuring a fair and thorough process.
- Manage the response to subpoenas, discovery requests, and other legal inquiries, ensuring accuracy, completeness, and timeliness.
- Design and implement training programs for the legal team and business stakeholders on key legal topics, compliance policies, and best practices.
- Establish and monitor key performance indicators (KPIs) for the legal team to track efficiency, turnaround times, and overall effectiveness.
- Supervise the maintenance of corporate records, contract databases, and other legal documentation, ensuring compliance with document retention policies.
- Provide expert guidance on regulatory compliance matters across various jurisdictions, including data privacy (GDPR, CCPA), anti-bribery, and industry-specific regulations.
- Manage relationships and budgets with outside counsel, law firms, and other third-party legal service providers to ensure cost-effective, high-quality support.
- Serve as an escalation point for complex legal questions and disputes, providing senior-level analysis and strategic recommendations to leadership.
- Drive the adoption of legal technology and process improvements to enhance the department's efficiency and service delivery.
- Review and approve legal documents, correspondence, and filings prepared by team members to ensure quality, accuracy, and consistency.
- Collaborate with the General Counsel on strategic initiatives, departmental budgeting, and long-range planning for the legal function.
- Conduct regular performance reviews, provide constructive feedback, and create development plans for direct reports to foster their career growth.
- Proactively identify potential legal risks and liabilities within the business and develop strategies and policies to mitigate them effectively.
- Support M&A activities by leading due diligence efforts, reviewing transaction documents, and assisting with post-closing integration from a legal perspective.
- Represent the company in negotiations with opposing counsel, regulatory agencies, and other external parties to defend the company's interests.

Education & Experience
Educational Background
Minimum Education:

- Certifications in compliance (e.g., CCEP) or privacy (e.g., CIPP) are a plus.
