Core Responsibilities

Primary Functions

  • Draft, review, and meticulously negotiate complex commercial real estate agreements, including Purchase and Sale Agreements, Letters of Intent, and development contracts.
  • Lead and manage all aspects of real estate transactions from inception to closing, including acquisitions, dispositions, and financing.
  • Conduct comprehensive due diligence, including in-depth analysis of title commitments, exception documents, ALTA surveys, and zoning reports to identify and mitigate potential risks.
  • Expertly draft and negotiate a wide variety of commercial lease agreements, including for office, retail, and industrial properties, on behalf of both landlords and tenants.
  • Advise clients on the structuring of complex real estate transactions, including joint ventures, partnerships, and limited liability companies for property ownership.
  • Review, negotiate, and finalize loan documents for real estate financing, including loan agreements, mortgages, deeds of trust, promissory notes, and guarantees.
  • Provide strategic legal counsel on land use, zoning, entitlements, and permitting matters, including representing clients before municipal boards and agencies.
  • Resolve complex title and survey issues, cure title defects, and negotiate title insurance policies and endorsements to ensure clear and marketable title.
  • Manage a high-volume portfolio of real estate transactions simultaneously, ensuring all deadlines are met and client objectives are achieved.
  • Advise on property management legal issues, including landlord-tenant disputes, lease enforcement, and compliance with local, state, and federal housing laws.
  • Review and analyze environmental site assessments (Phase I & II) and other environmental reports to advise clients on potential liabilities.
  • Draft and negotiate construction-related contracts, such as AIA agreements, with architects, contractors, and other third-party vendors.
  • Provide legal guidance on property tax assessments and appeals to help clients minimize tax liabilities.
  • Prepare and review all necessary closing documents, including deeds, transfer tax forms, bills of sale, and settlement statements (HUD-1/Closing Disclosures).
    silencing- Serve as the primary legal point of contact, communicating effectively with clients, opposing counsel, title agents, brokers, and lenders throughout the transaction lifecycle.
  • Form and maintain corporate entities (LLCs, LPs) used for real estate investment and development, including drafting operating and partnership agreements.
  • Advise on the legal intricacies of condominium and planned unit development (PUD) law, including the creation and governance of homeowners' associations (HOAs).
  • Counsel clients on tax-deferred transactions, such as 1031 exchanges, ensuring strict compliance with IRS regulations.
  • Interpret and provide counsel on restrictive covenants, easements, and other encumbrances affecting real property.
  • Support real estate litigation efforts by providing transactional background, document analysis, and strategic input to the litigation team.
  • Stay current on changes in real estate law, market trends, and industry best practices to provide proactive and cutting-edge legal advice.
  • Manage and coordinate post-closing matters, including the recording of documents and the finalization of title policies.

  • Support ad-hoc legal research and analysis on emerging real estate trends, case law, and statutory changes.
  • Contribute to the firm's business development efforts by participating in seminars, writing articles, and networking within the real estate industry.

Education & Experience

Educational Background

Minimum Education:

Juris Doctor (J.D.) from an accredited law school and an active license to practice law in the relevant state.
