Primary Functions

  • Full-Cycle Contract Management: Independently manage the entire contract lifecycle, from initial drafting and negotiation through to execution, storage, and eventual renewal or termination, for a high volume of complex commercial agreements.
  • Strategic Negotiation: Lead and execute negotiation strategies for a diverse portfolio of contracts, including Master Service Agreements (MSAs), Statements of Work (SOWs), Software-as-a-Service (SaaS) agreements, and partnership contracts to achieve favorable commercial and legal terms.
  • Risk Identification and Mitigation: Proactively identify, analyze, and mitigate potential risks within contractual terms, working with Legal and other departments to develop and implement effective risk-reduction strategies.
  • Stakeholder Collaboration: Act as the central point of contact for all contract-related inquiries within the region, building and maintaining strong, collaborative relationships with Sales, Finance, IT, and Operations teams to ensure seamless contract execution.
  • Compliance and Governance: Ensure all contractual documents are in full compliance with company policies, local and international laws, industry regulations (e.g., GDPR, CCPA), and corporate governance standards.
  • Template and Playbook Development: Draft, review, and maintain a library of standard contract templates, approved clause libraries, and negotiation playbooks to streamline the contracting process and ensure regional consistency.
  • Commercial Guidance: Provide expert advice and practical guidance to business teams on contract structures, commercial implications, negotiation tactics, and adherence to established contracting policies.
  • Dispute Resolution: Manage and facilitate the resolution of contract-related disputes or claims with customers and vendors, acting as the first point of escalation before involving senior legal counsel.
  • Performance Monitoring: Track and monitor contractual obligations post-signature to ensure compliance from all parties, managing amendments, renewals, and extensions in a proactive and timely manner.
  • CLM System Management: Champion the use of the company's Contract Lifecycle Management (CLM) system, ensuring all contracts are accurately logged, tracked, and managed within the platform.
  • Sales Cycle Support: Partner directly with the regional sales organization to provide timely and effective contract support, helping to accelerate deal cycles while protecting the company's interests.
  • Vendor & Procurement Contracts: Oversee the negotiation and management of key supplier and vendor agreements, focusing on cost-effectiveness, service levels, and performance metrics.
  • Executive Reporting: Prepare and present regular reports and summaries to senior leadership on contract status, key commercial terms, potential risks, and overall portfolio performance.
